Structural changes and foreign capital participation in the Brazilian health services sector: an analysis of equity transactions between 1999-2018

O objetivo do artigo é analisar o processo de mudança estrutural no setor privado de serviços de saúde brasileiro, a partir de uma caracterização da evolução do arcabouço institucional que regula a participação do capital estrangeiro em saúde e da análise das operações patrimoniais envolvendo empresas do setor de saúde brasileiro. Transformações no modelo político-institucional, associadas com um aumento do processo concentração e centralização de capital permitiram a ampliação da participação do capital estrangeiro nos serviços de saúde desde o início dos anos 2000 e a emergência de corporações de saúde com atividades em hospitais, ambulatórios, medicina diagnóstica e planos de saúde. O artigo contribui para a literatura da relação público privado em saúde ao utilizar uma extensa base de microdados para analisar as operações patrimoniais (fusões, aquisições majoritárias, aquisições minoritárias e IPOs) na área dos serviços de saúde brasileiro e identificar um padrão na forma de relação entre as empresas de serviços de saúde e fundos financeiros. Com base na análise, o artigo confirma a hipótese de pesquisa de que a entrada do capital estrangeiro é anterior a alteração na lei que abre o mercado de serviços de saúde no Brasil.

The article's objective is to analyze the process of structural change in the Brazilian private health services sector. We discuss the evolution of the institutional framework that regulates the participation of foreign capital in health and analyze equity operations involving companies in the Brazilian health sector. Institutional transformations, associated with the process of concentration and centralization of capital, allowed the expansion of foreign capital participation in health services since the beginning of the 2000s and the emergence of health corporations with activities in hospitals, clinics, diagnostic medicine, and health plans. The article contributes to the public-private relationship literature in health care by using an extensive micro database to analyze equity operations in the area of Brazilian health services. A new pattern in the relationship between health service companies and financial funds emerged. Based on the analysis, the article confirms the research hypothesis that the entry of foreign capital precedes the change in the law that opened the health services market in Brazil.
